By downloading, installing, accessing, or using the GymPulse application, website, and related services (collectively, the "Services"), you irrevocably agree to comply with and be bound by these Terms of Service ("Terms"). If you do not agree to these Terms in their entirety, you must immediately cease using the Services.
WE RESERVE THE ABSOLUTE RIGHT TO MODIFY, ALTER, AMEND, OR UPDATE THESE TERMS AT ANY TIME WITHOUT PRIOR NOTICE OR LIABILITY TO YOU. Revisions will be effective immediately upon posting. Your continued use of the Services after any such changes are posted constitutes your binding acceptance of the modified Terms. It is your sole responsibility to check these Terms periodically for changes.
GymPulse is a Software as a Service (SaaS) platform designed for gym owners to manage their members, track revenue, and organize schedules. The Services are provided strictly on an "AS IS", "AS AVAILABLE", and "WITH ALL FAULTS" basis. GymPulse makes absolutely no representations or warranties of any kind, whether express, implied, statutory, or otherwise, regarding the Services. We explicitly disclaim all implied warranties, including but not limited to, warranties of merchantability, fitness for a particular purpose, non-infringement, quiet enjoyment, and uninterrupted, bug-free, or secure operation.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GYM PULSE, ITS CREATORS, DEVELOPERS, AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES.
This includes, without limitation, damages for loss of profits, loss of revenue, loss of goodwill, loss of data, business interruption, system failure, device damage, personal injury occurring at your gym facility, disputes between you and your gym members, or any other intangible or tangible losses arising out of or relating to your access to, use of, or inability to access or use the Services. This limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if GymPulse has been advised of the possibility of such damage. If you are dissatisfied with any portion of the Services or these Terms, your sole and exclusive remedy is to discontinue using the Services.
You agree to fully defend, indemnify, and hold harmless GymPulse and its affiliates, directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Services; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (d) any claim that your use of the Services caused damage to a third party (including your gym members).
You are solely responsible for all activities that occur under your account. You agree to provide true, accurate, current, and complete information. You must notify us immediately of any security breach or unauthorized use of your account. You retain all right, title, and interest in the data you submit to the Services; however, you grant GymPulse a worldwide, royalty-free license to host, copy, process, transmit, and display your data strictly as necessary for us to provide the Services. You represent and warrant that you have obtained all necessary consents from your gym members to input their personal data into GymPulse.
We do not guarantee that the Services will always be safe, secure, or error-free, or that the Services will function without disruptions, delays, or imperfections. We may suspend, withdraw, discontinue, or change all or any part of our Services without notice. GymPulse is not liable for any data loss, corruption of data, or failure to store any data or other content maintained or transmitted by the Services.
GymPulse reserves the unilateral right, in its sole discretion, to terminate your access to all or any part of the Services at any time, with or without cause, with or without notice, effective immediately. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which GymPulse operates, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in that jurisdiction, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.
